Litigation and Dispute Resolution

Legal representation in any of the Court jurisdictions comprising Cyprus’ judicial system, namely the Supreme Court, District Courts (both Civil and Criminal jurisdiction), Admiralty Court, Family Court, Rent Control Tribunal, Industrial Tribunal, Military Court and Administrative Court. Special reference is made to the below procedures, which shall be seen as broadening the scope of AK’s litigation capabilities rather than limiting same:

  • AK has breadth of experience in any litigation area, comprising multi-party, multi-jurisdictional and complex disputes.
  • We are competent and duly licensed to assist clients pursue their claims and resolve any legal issues through Alternative Dispute Resolution procedures, such as Arbitration and Mediation;
  • Corporate Litigation.
  • Corporate Procedures – litigation which necessitates under the Companies Law and other similar or ancillary Law pertaining to procedural matters of a corporation.
  • Minority shareholder procedures and derivative actions.
  • Issue of liquidation orders.
  • Recognition and Enforcement of foreign judgments in Cyprus.
  • Assisting on the service or execution of foreign judgments in Cyprus.

Inheritance and Succession

With relation to the Inheritance and Succession sectors, we provide the following services, amongst others:

  • Drafting and registering of Wills.
  • Undertaking probate actions.
  • Handling Court procedures for the issue of administration orders.
  • Advising on inheritance issues.
  • Acting as will executors and estate administrators.
  • Applying to Court for the re-sealing of a Grant of Probate issued in another jurisdiction.
Corporate and Commercial

With relation to the Corporate and Commercial sectors, we provide the following services, amongst others:

  • Incorporation of Cypriot companies under the Companies Law, namely, companies limited by shares or guarantee, public or private;
  • Incorporation of Partnerships, Trade Names and Clubs, Societies or Institutions;
  • Corporate reorganization and reconstruction;
  • Drafting of Memorandums and Articles of Association;
  • Incorporation of companies in other main jurisdictions (such as EU, UK, British Virgin Islands, Marshall Islands, Cayman Islands, Belize, Malta, Panama, Singapore, Dubai, Hong Kong and others);
  • We are licensed to provide directorship, secretarial and domiciliation services and other corporation administrative services in accordance with the Law Regulating Companies Providing Administrative Services and Related Matters of 2012;
  • Administration and management of companies;
  • Opening and administration of bank accounts;
  • Acting as legal advisors to many Cypriot Companies and other Service Providers operating in Cyprus on a retainer basis;
  • Undertaking any kind of corporate procedures at the Registrar of Companies in Cyprus, including changes to Company’s corporate structure, amendments to a company’s M&AA, voluntary liquidation procedures, registration of charges, capital-raising transactions, removal and appointment of directors or other officers, convening and arranging the holding of general or board meetings etc;
  • Opening of bank accounts in all main Cyprus banks and foreign banks;
  • We undertake the carrying out of due diligence on Cypriot companies for any purposes;
  • We draft and present to the Court liquidation applications against Cypriot Companies and we may administer the liquidation procedure upon the issue of the Court’s liquidation order. Our office is duly licensed to act as Insolvency Practitioner under the corresponding domestic Law. Under Cyprus Law, only Insolvency Practitioners may be appointed as liquidators of Cypriot Companies.
  • Redomiciliation of Companies to and from Cyprus;
  • Domestic and Cross-Border Mergers and Acquisitions;
  • Drafting of various types of contracts or other legal instruments, such as, shareholders agreements, share purchase agreements, joint venture agreements, other agreements relating to corporate governance, partnership agreements, franchise agreements, intellectual property acquisitions, property sale agreements, agreements relating to sale of goods or services, tenancy agreements, employment agreements, loan agreements, assignments, pledges, mortgages or other charges and generally any agreements which his necessary for the establishment or the operations of a Company.
  • Assisting with the establishment of a Company in Cyprus or the creation of Substance in Cyprus, including, offering or finding office space, arranging the equipment and furnishing of the office, recruitment of staff, telephone and internet connections etc.
Shipping

With relation to the Shipping sector, we provide the following services, amongst others:

  • Vessels’ registration under Cyprus flag or in other main jurisdictions, such as Panama, Liberia, Marshall Islands, Hong Kong, Singapore, Malta, Bahamas, Greece, Delaware, Gibraltar, Seychelles, Isle of Man, UK, Sierra Leone, Belize, BVI, amongst others;
  • Drafting and registration of mortgages and other charges against ships;
  • Acting as authorized representatives of ships in Cyprus;
  • Representing clients to pursue claims, in rem and/or in personam, originating from  maritime or statutory liens, or any other kind of shipping claims, including but not limited to, personal damage claims, damages occurred by collision of ships, salvage, demurrages, crew claims for unpaid wages, claims for bunkering, breach of charterparties, freight disputes, enforcement of mortgages or other charges, breach of loan agreements, damage to cargo, agency fees etc.;
  • Handling Court procedures for the Arrest and Sale of Ships;
  • General average;
  • Shipping claim adjustments;
  • Problems relating to the employment of officers and crew;
  • Shipping company law and tax issues;
  • Legal advice concerning maritime or shipping issues;
  • Liaison with the Department of Merchant Shipping for the resolution of any issues (our locating in Limassol where the Department of Merchant Shipping is also located, give us the advantage of direct and immediate access);
  • Undertaking all the legal and other procedures with relation to the Yacht Leasing Scheme which allows the payment of very low VAT rate within the EU.
Employment

With relation to the Employment sector, we provide the following services, amongst others:

  • Drafting of Employment Contracts and employment policies;
  • Advising on all aspect of Employment Law, including on employments issues on mergers, acquisitions and business transfers, on issues of equality and equal treatment in the employment between men and women, on discrimination or sexual harassment at work, on redundancy issues, on maternity and paternity labour issues, on the legal implications on employment termination etc.;
  • Mediating for resolving disputes between employers and employees.
  • Representing employers and employees to Court proceedings;
  • Registration of Pension Schemes;
  • Advising on issues of Social Insurance;
  • Liaising with the Trade Unions and the Department of Labour Relations for resolving disputes between employers and employees;
  • Arranging work and residence permits to foreign employees;
  • Arranging the registration of Foreign Interest Undertakings to the Migration Department which allows the acceleration of the issuance of work permits to foreign employees.
Immigration

With relation to the Immigration sector, we provide the following services, amongst others:

  • Undertaking all the requisite procedures for the Naturalization of Investors in Cyprus by Exception, under the relevant Scheme, as has been renewed by the Council of Ministers decision of 13th September 2016, including the following:
    • Guiding and advising the Client throughout the process and especially with relation to the context and admissibility of the documents;
    • Reviewing and compiling all the documents that must be provided to us by the Client;
    • Drafting of the letter/application which is required to be submitted to the Ministry of Interiors and the Ministry of Finance;
    • Visiting the Ministry of Interiors for the submission of the letter/application together with all supporting documentation;
    • Liaising with the Ministries and relevant Cyprus authorities throughout the procedure up until the approval of the application by the Council of Ministers and putting pressure for more expedite processing of the application;
    • Opening of a bank account(s) in the name of the Client if required;
    • Drafting of and/or reviewing any sale and purchase agreements for property(ies) that the Client will acquire.
    • Assisting the Client with the acquisition of the property(ies) and negotiating with developers or sellers in that respect.
  • Undertaking all the necessary procedures to secure the issuance of Permanent Residency of our clients in Cyprus, both under the normal (Categories E and F) and the accelerated procedures (Regulation 6(2)) including:
    • Arranging various viewings of properties for the client either before or upon his/her arrival
    • Drafting of and/or reviewing any sale and purchase agreements for property(ies) that the Client will acquire.
    • Examining the legal and physical characteristics of the property;
    • Check developing company’s existence and listing information, such as incorporation date, registered office, company no., status etc, and credit report.
    • Conduct a search at the land registry to make sure that the property is free from charges or burdens, and that they have planning and building permits, etc.
    • Preparation and submission of an application to the Council of Ministers under Cap. 109 (Law on the Acquisition of Immovable Property by Third Country Nationals);
    • Representation of the client at the Land Registry Office to deposit the purchase contract for specific performance purposes and/or to transfer and register the property under the Client’s name.
    • Acting as an Escrow Agent for the purposes of the sale agreement between the Client and the Developer, whereby the Law Firm shall keep the purchase price in escrow until the transfer and registration of the title deed into the name of the Client;
    • Reviewing, advising, compiling and/or assisting on the securing of the documents required to be submitted to the Migration Department along with the application for the issue of a Permanent Residency Permit;
    • Liaising with the authorities at all stages of the procedure for the issuance of the PR permit;
    • Opening of a bank account with a Cypriot Bank (where required);
    • Arrange medical, home and/or other requested insurance policies;
    • Assist  the client in arranging meetings with various schools principals to discuss possible admission of their children and generally assisting in settling down in Cyprus;
  • Undertaking all the necessary procedures to secure the issuance of Permanent Residency of our clients in Cyprus, both under the normal (Categories E and F) and the accelerated procedures (Regulation 6(2)) including:
  • Issuance of all kinds of visitors permits and liaising with the Cyprus Embassies in foreign countries in that respect;
  • Arranging the registration of Foreign Interest Undertakings to the Migration Department which allows the acceleration of the issuance of work permits to foreign employees.
  • Arranging work and residence permits to foreign employees under any Category;
  • Registration of EU citizens at the Immigration Department;
Intellectual Property

With relation to the Intellectual Property sector, we provide the following services, amongst others:

  • Registration of patents, trade-marks and trade names in Cyprus, the EU or internationally;
  • Advising on the acquisition and protection of intellectual property;
  • Drafting of relevant contracts;
  • Handling passing-off Court cases and the issuance of Court injunctions preventing the unlawful use of intellectual property rights;
  • Advising on the tax framework relating to intellectual properties (IP Box);
Property – Real Estate

With relation to the Property – Real Estate sectors, we provide the following services, amongst others:

  • Drafting of sale and purchase agreements of any kind of properties in Cyprus;
  • Drafting of tenancy, lease, license or any other type of agreements relating to the right of possession and/or use of properties in Cyprus;
  • Registration of the sale and purchase agreement to the Land Registry Office for specific performance purposes;
  • Negotiating with developers or other sellers the terms of the property sale and purchase agreement on behalf of the client;
  • Arranging calculation and payment of stamp duty;
  • Advising on tax issues with relation to properties located in Cyprus;
  • Arranging the issuance of the necessary permission that a foreigner may have to obtain from the Council of Ministers pursuant to the relevant Law, before the transfer of the property is processed;
  • Representing the clients to any District Lands Office for securing the transfer of the property unto their name and we undertake all the necessary procedures;
  • Arranging and undertaking the delivery of properties on behalf of the client(s);
  • Assisting, either directly or through associates, the viewing, examination and finding of properties on behalf of our clients;
  • Providing due diligence on properties, including to check if any mortgages, rights, charges, covenants or other encumbrances are registered against the property;
  • Arranging the appointment of real estate agents, valuers, engineers or architects on behalf of the clients;
  • Undertaking the administration of Properties on behalf of clients.
Taxation

With relation to the Taxation sector, we provide the following services, amongst others:

  • Advising on any issues regarding the tax framework applying in Cyprus, both on direct and indirect taxation;
  • Advising on the formation of International tax structures where DTT between Cyprus and another country is involved;
  • We advise clients on the establishment of “Substance” in Cyprus;
  • Secure the issue of tax rulings from the Tax Department;
  • Arranging the submission of any kind of tax forms and payment of taxes on behalf of the clients;
  • Undertaking the negotiation and resolution of tax disputes with the tax authorities;
  • Arranging Customs procedures;
  • Undertaking all the legal and other procedures with relation to the Yacht Leasing Scheme which allows the payment of very low VAT rate within the EU.
Licensing – Regulatory Compliance

With relation to the Licensing – Regulatory Compliance sectors, which we treat as distinct sectors, we provide the following services, amongst others:

  • Advising and assisting the clients to obtain license from the Department of Merchant Shipping for the provision of security services on board vessels under the provisions of the Anti-Piracy Law;
  • Advising and assisting clients to secure the required permissions from the competent authorities for carrying out hydrographic or seismographic surveys within the Exclusive Economic Zone of Cyprus;
  • Advising and assisting clients to obtain permissions for the construction, installment and/or operation of Renewable or Conventional Energy Sources;
Banking, Investment and Financial Management
