Types of Cyprus Investment Funds

The Cyprus legal framework provides for three principal types of alternative investment funds:

  1. Alternative Investment Funds (AIFs);
  2. Alternative Investment Funds with a Limited Number of Persons (AIFLNPs); and
  3. Registered Alternative Investment Funds (RAIFs).

Each structure offers distinct advantages depending on the investment strategy, investor profile and regulatory requirements.

A. Alternative Investment Funds (AIFs)

An AIF may be established as:

  1. a common fund;
  2. an investment company with fixed or variable capital; or
  3. a limited partnership.

AIFs may also operate as umbrella funds with multiple investment compartments, allowing different investment strategies to be housed within the same legal structure while maintaining separate pools of assets and liabilities.

To maintain their authorisation, AIFs must raise at least €500,000 from investors within twelve months of receiving approval. In the case of umbrella structures, this requirement applies separately to each compartment.

AIFs enjoy considerable investment flexibility and may invest in a broad range of asset classes, including securities, private equity, real estate and other alternative investments, subject to applicable regulatory requirements and the fund’s investment policy.

Depending on their size and structure, AIFs may be either internally managed or appoint an external fund manager. All AIFs require prior authorisation by the Cyprus Securities and Exchange Commission (CySEC).

B. Alternative Investment Funds with a Limited Number of Persons (AIFLNPs)

          AIFLNPs are designed for a limited group of investors and may only be offered to professional and/or well-informed investors.

          The total number of investors may not exceed fifty, making this structure particularly attractive for family offices, private investment clubs and closely held investment arrangements.

          An AIFLNP may be established as either an investment company or a limited partnership and must raise a minimum of €250,000 from investors within twelve months of authorisation.

          One of the key advantages of the AIFLNP regime is its flexibility. Subject to the provisions of its constitutional and offering documents, there are generally no prescribed investment restrictions, allowing investors to tailor the fund’s investment strategy to their specific objectives.

          C. Registered Alternative Investment Funds (RAIFs)

                RAIFs offer a streamlined and efficient route to market for professional and well-informed investors.

                Unlike traditional AIFs, a RAIF is not directly authorised by CySEC. Instead, it is registered in a special register maintained by CySEC but it is not licensed by CySEC. The registration to CySEC registry does not mean CySEC licensing.

                A RAIF may be established as:

                1. a common fund;
                2. an investment company; or
                3. a limited partnership.

                As with AIFs, RAIFs may operate through umbrella structures with multiple compartments.

                The combination of reduced regulatory approval timelines and access to the European marketing passport has made the RAIF one of the most popular fund structures in Cyprus for international investment managers.

                Permanent Residence Through Investment in Cyprus Funds

                        Under Cyprus’ fast-track permanent residence program for third-country nationals, an applicant may satisfy the investment criterion by investing in units of an eligible Cyprus collective investment scheme.

                        The minimum qualifying investment is €300,000 and must be made in units of a Cyprus-based investment fund whose underlying investments are located in Cyprus.

                        Eligible fund structures include:

                        1. Alternative Investment Funds (AIFs);
                        2. Alternative Investment Funds with a Limited Number of Persons (AIFLNPs); and
                        3. Registered Alternative Investment Funds (RAIFs).

                        In addition to the qualifying investment, applicants must demonstrate a secure annual income of at least €50,000. The required income increases by €15,000 for a spouse and €10,000 for each dependent minor child.
